Halliburton II and the Price Impact Rule: Then & Now

The panel will discuss the continuing impact of the ruling of U.S. District Court for the Northern District of Texas on remand from Halliburton, Co. v. Erica P. John Fund, Inc. (Halliburton II), where the U.S. Supreme Court had held that at the class certification stage, defendants must be allowed to rebut the fraud-on-the-market presumption of reliance by certifying that each alleged misrepresentation did not affect the company's stock price. On remand, the district court held that "Halliburton Co. had successfully rebutted the presumption of reliance with respect to five out of six alleged corrective disclosures.” Hence, the plaintiffs' motion for class certification was partially granted.
